PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICES.

1. Acceptance & Eligibility

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Trading Mindset & Data, LLC (“TMAD,” “we,” “us,” or “our”). These Terms govern your access to and use of TMAD.app, tradingmindsetanddata.com, our Trading Mindset & Data Discord community, and TMAD.news (our Substack publication), together with any related websites, applications, and communications (collectively, the “Service”).

By using the Service, you represent that you are at least the age of majority in your state or province of residence and that you have the legal capacity to enter into these Terms. A breach or violation of any of these Terms will result in immediate termination of your account and right to use the Service.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Services

TMAD is an educational trading analysis platform. Our Service provides tools and content designed to help users learn about market analysis, options flow, technical indicators, and trading concepts. The Service includes:

• A web-based dashboard, scanner, stock detail pages, and watchlist management tools (TMAD.app).

• A Discord community for educational discussion, live webinars, and mentoring/cohort sessions.

• A Substack newsletter with market commentary and educational content (TMAD.news).

• A corporate website (tradingmindsetanddata.com).

We may offer certain features or content at no charge; the availability and scope of such features may change at any time without notice. We reserve the right to modify, suspend, or discontinue any part of the Service at our sole discretion.

All content provided through the Service is for educational and informational purposes only and does not constitute investment advice.

3. Accounts & Access

To access certain features of the Service, you must create an account using an email address and password or through Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

We reserve the right to:

• Restrict, suspend, or terminate your access to the Service for any reason, with or without prior notice.

• Deactivate or delete accounts due to conduct violations, inactivity, or non-payment.

• Limit access to certain features or platforms to invited users only.

4. Subscriptions, Payments & No-Refund Policy

Certain features of the Service require a paid subscription. Payment processing is handled by third-party providers including Stripe and Substack (for iOS in-app purchases). We do not store your full credit card number.

• All sales are final. Because our services are digital and informational in nature, no refunds will be issued for any reason.

• Subscription management is your responsibility. You must cancel recurring payments through the applicable account settings (Stripe billing portal or Substack settings) before the next billing cycle.

• Trial periods, if offered, will automatically convert to a paid subscription at the end of the trial unless you cancel before the trial expires.

5. Investment & Financial Disclaimers

Neither Trading Mindset & Data, LLC nor its operators, employees, contractors, or moderators serve as an investment advisory service, registered investment advisor, or broker-dealer with the U.S. Securities and Exchange Commission or any state regulatory authority.

• We do not provide personalized investment recommendations.

• Our content — disseminated via Discord, TMAD.app, TMAD.news, social media, and video — does not constitute a recommendation for any specific security or strategy for any specific person.

• All live signals, callouts, and trade discussions shared through our Services are treated as instructional simulations on paper accounts— educational exercises designed to teach analytical techniques.

• We strongly recommend using a paper trading account or simulator to practice any ideas discussed in our Services. Using a live trading account is entirely at your own risk.

• We do not manage client assets.

• Past performance is not a predictor of future outcomes. Profitability is not guaranteed.

• Trading stocks, options, and futures involves significant risk and is not suitable for everyone. You assume the entire cost and risk of any trading you undertake.

We expressly disclaim any liability for financial losses incurred from your reliance on information obtained through our Services. Always consult with a registered financial advisor before making investment decisions.

6. CFTC Rule 4.41 Disclaimer

Futures and options trading has large potential rewards, but also large potential risk. You must be aware of the risks and be willing to accept them in order to invest in futures and options markets.

CFTC RULE 4.41: HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, SINCE THE TRADES HAVE NOT BEEN EXECUTED, THE RESULTS MAY HAVE UNDER-OR-OVER COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFIT OR LOSSES SIMILAR TO THOSE SHOWN.

7. User Conduct

All members are expected to act with professional decorum across all platforms. You agree not to:

• Upload, post, or transmit unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content, including sharing misleading or harmful information.

• Impersonate any individual, including TMAD personnel, moderators, administrators, or the liathetrader persona.

• Disrupt the normal flow of communication or act in a manner that negatively affects other users’ ability to participate.

• Engage in unauthorized promotion, solicitation, or spam.

• Solicit, recruit, or “poach” our members or customers for competing services.

Violation of these conduct rules will result in immediate removal from the Service without a refund. We may pursue legal action against individuals who solicit our members for competing services.

8. Intellectual Property & Attribution

All content, trademarks, copyrights, trade secrets, and brand features associated with the Service — including but not limited to the TMAD brand, the liathetrader persona and handle, trade “alpha,” strategies, market analysis, and educational materials — are the sole property of Trading Mindset & Data, LLC.

Limited sharing license:We grant you a limited, non-exclusive, non-transferable right to share select insights or educational content from our Services on social media or external platforms, provided that such content is clearly and conspicuously attributed to Trading Mindset & Data, LLC, TMAD.app, or @liathetrader as the original source. This license does not permit the systematic or commercial redistribution of our proprietary data as described in Section 9.

9. Proprietary Data & Anti-Scraping

Trading Mindset & Data, LLC strictly prohibits the unauthorized use of our data.

• No scraping: You may not use any robot, spider, script, or automated tool to scrape, harvest, or extract data from TMAD.app, our Discord, or our Substack.

• No redistribution: You are prohibited from redistributing, republishing, or mirroring our trade ideas, market data, proprietary analysis, or educational content to other Discord servers, social media platforms, public forums (including Reddit and X/Twitter), or private groups.

• Regulatory compliance: Market data displayed through our Service may be delayed in compliance with regulatory guidelines. Any misuse of this data is your sole responsibility.

Licensing fee: Unauthorized redistribution of our proprietary information will be treated as a licensing request. The subscriber will be charged a licensing fee (determined on a case-by-case basis) in addition to their current subscription. Unauthorized use may also result in immediate account termination and a permanent ban from all TMAD platforms.

We will pursue legal action to the fullest extent of the law against individuals or entities found illegally redistributing our data.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the Service will be accurate or reliable; or (c) any market data, analysis, or educational content will be complete, current, or free of errors.

11. Limitation of Liability & Indemnification

Indemnification

You agree to indemnify, defend, and hold harmless Trading Mindset & Data, LLC, its subsidiaries, affiliates, officers, directors, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

Limitation of Individual Liability

You explicitly acknowledge and agree that these Terms create an agreement between you and Trading Mindset & Data, LLC only. To the maximum extent permitted by law, you hereby waive, release, and discharge any and all claims, whether known or unknown, against the individual members, owners, officers, directors, or employees of Trading Mindset & Data, LLC personally. Your sole recourse for any dispute arising from the Service shall be against the assets of the LLC.

Cap on Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRADING MINDSET & DATA, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Governing Law & Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any and all claims, causes of action, or disputes arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction of such courts.

13. Modifications & Termination

Modifications

We may update these Terms from time to time. When we do, we will revise the “Effective Date” at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.

Termination

We may, without prior notice, immediately terminate or limit your access to the Service for cause, including but not limited to:

• Breach of these Terms or community guidelines.

• Requests by law enforcement or government agencies.

• Engagement in fraudulent or illegal activities.

• Non-payment of any associated fees.

We reserve the right to modify or discontinue any part of the Service at any time, with or without notice.

14. Mentoring & Cohort Services

Mentors at Trading Mindset & Data, LLC are not licensed financial advisors. Mentoring sessions and cohort programs are for sharing personal experiences and educational strategies only. All results discussed during mentoring sessions are hypothetical.

Cancellation policy: Notifications to reschedule a mentoring session must be sent at least 24 hours prior to the scheduled time, or the session fee is forfeited.
